Federal Court Order
In light of a recent federal court order, reporting companies are not currently required to
file beneficial ownership information with FinCEN and are not subject to liability if they fail
to do so while the order remains in force. However, reporting companies may continue to
voluntarily submit beneficial ownership information reports.

Who Needs to File?
If your business is registered with the state or federal government, you must complete a Beneficial Owner Information Report, applicable to LLCs and corporations.
Sole proprietors and general partnerships that have not registered their entity are exempt from filing.
Required to File BOIR:
- LLCs

Not Required to File BOIR:
- Sole Proprietors
- General Partnerships
When to File?
Depending on when your business was created or registered, the deadlines for filing a BOI report differ:
Created before 2024: December 31, 2024
Created During 2024: 90 Days
Created After 2024: 30 Days

To file on your own, collect all required information and visit boiefiling.fincen.gov to complete and submit the report.
